IF YOU DO NOT ACCEPT AND AGREE TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT CLICK THE "I AGREE..." HYPERLINK AND DO NOT SUBMIT IMAGES TO DOG BREED INFO CENTER.
1. This Photo Submission Agreement ("Agreement") becomes effective when you complete all of the information required on the Submission Form and indicate your acceptance of this Agreement by clicking on the "I Agree..." hyperlink when it is presented. This Agreement is between you and Dog Breed Info Center, which is the operator of the website located at https://www.dogbreedinfo.com (the "Website", “we”, or “us”). This Agreement sets forth the terms and conditions under which you submit one or more images to the Website (the “Uploaded Images”). The Uploaded Images must be submitted via the Internet through the submission page that appears after clicking the "I Agree..." hyperlink. This Agreement is supplemental to the Website’s Terms of Service. In the event of a conflict between this Agreement and the Terms of Service, then the Terms of Service shall control.
You warrant and represent that: you are at least 18 years old; you have read, understand, and agree to this Agreement; you have the sole and exclusive right to grant the License to Dog Breed Info Center; you have obtained appropriate, written releases from any and all recognizable persons appearing in the Uploaded Images, and from any and all persons who provided art work or any other material appearing in the Uploaded Images. Further, you warrant that Dog Breed Info Center's copying, publishing, displaying and/or other exploitation of the Uploaded Images will not infringe on any rights of any third party, including, but not limited to, copyright, trademark, privacy or publicity rights anywhere in the world.
In addition to the license you grant us under the “User Content” section of our Terms of Service (located at https://www.dogbreedinfo.com/termsofservice.htm), you hereby agree to certain other rights and obligations specific to the Uploaded Images. You grant any other user of the site the right to access, view, store, or reproduce the Uploaded Images for that user's personal use; you waive your rights to attribution, integrity, or any other moral right in the Uploaded Images in connection with its (their) use by Dog Breed Info Center; and you understand and agree that Dog Breed Info Center(R) shall have no obligation to copy, publish, display, or otherwise exploit the Uploaded Images, nor shall it be obligated to prevent, or have any liability for, any unauthorized copying, publishing, displaying or other exploitation of the Uploaded Images.
You agree to provide current contact information on the submission form that appears after you click the "I Agree..." hyperlink. Further, you agree to promptly send notice to Dog Breed Info Center(R) with your new contact information, if your contact information changes, so that we may contact you regarding your Uploaded Images. You understand that, if you fail to provide us with updated information, it is unlikely that we will be able to contact you regarding your Uploaded Images.
Your privacy rights with respect to the submission of the Uploaded Images to the Website are contained in the Website’s Privacy Policy, which supersedes all other communications. In the event of a conflict between this Agreement and the Privacy Policy, the Privacy Policy will control.
Dog Breed Info Center(R) reviews images but does not otherwise assume responsibility for the content of any images. Dog Breed Info Center(R) may not publish all images submitted to it under this Agreement. Dog Breed Info Center(R) has sole discretion to choose which images to publish, to choose which images to select as featured photos, and to determine and develop the context in which images are displayed on the Website. Dog Breed Info Center(R) reserves the right to alter the Uploaded Images as appropriate for the medium.
You agree to notify Dog Breed Info Center(R) of any unauthorized copying or use of the Uploaded Images that comes to your attention. You agree that Dog Breed Info Center(R) has no obligation to protect your intellectual property rights in the Uploaded Images against actions by third parties.
You may not assign your rights or obligations under this Agreement without Dog Breed Info Center's express written consent. Dog Breed Info Center(R) may assign or transfer its rights and responsibilities under this Agreement without your notice or consent.
The Agreement may be revised by us at any time without prior notice to you. All revisions will be effective upon posting on the Website and applies to any Uploaded Images already on the Website. If you object to any revision, please contact us so that we can remove your Uploaded Images. Your continued use of the Website (including by permitting your Uploaded Images to remain on the Website) following any revision being posted constitutes your agreement to any and all revisions.
Each provision of the Agreement shall be interpreted in such a manner as to be valid, legal and enforceable. A determination that any provision of the Agreement is for any reason invalid, illegal, or unenforceable shall not affect the validity of the Agreement and any other provisions herein, and the Agreement shall be interpreted and construed as if such invalid, illegal, or unenforceable provisions were not contained herein.
No breach of any provision of the Agreement can be waived by us unless by written notice. Waiver of any one breach shall not be deemed to be a waiver of any other breach of the same or any other provision of the Agreement.
Paragraph titles or captions contained in the Agreement are used for convenience or reference only and are not intended to and shall not in any way enlarge, define, limit, extend or describe the rights or obligations of you or us or affect the meaning or construction.
All notices contemplated by this Agreement shall be in writing and sent by: hand delivery; prepaid courier service, by overnight delivery with delivery confirmation; or electronic mail. Notices shall be effective upon receipt of confirmation that delivery is complete. All notices to you shall be addressed to the location you provide to Dog Breed Info Center(R) as part of the photo submission process. All notices mailed to Dog Breed Info Center(R) shall be mailed to: Dog Breed Info Center, 3 Crozerville Road, Aston, Pennsylvania 19014 (unless Dog Breed Info Center(R) subsequently designates a different address by notice to you).
The Agreement shall be governed in all respects by the laws of the Commonwealth of Pennsylvania, without regard to conflict of laws provisions. You agree that any claim or dispute you may have against us must be resolved exclusively by binding arbitration in accordance with the International Institute for Conflict Prevention and Resolution Rules for Administered Arbitration by a sole arbitrator. The arbitration shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., and judgment upon the award rendered by the arbitrator may be entered by any court having jurisdiction thereof. The place of the arbitration shall be selected by us, and will be within 50 miles of Philadelphia, Pennsylvania.
